Terms of Service

By creating an account or using Subrix, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the authority to bind yourself or your organization to these Terms, and have read and understood this agreement.

We reserve the right to update these Terms at any time. Material changes will be communicated by email or via an in-app notice. Continued use of Subrix after changes take effect constitutes acceptance of the revised Terms.

Subrix is a SaaS spend management platform that helps teams track software subscriptions, monitor renewal dates, analyze utilization, and identify cost savings. Core features include:

• Tool and subscription tracking with renewal calendars
• Team member management and role-based access
• Utilization surveys and spend analytics
• AI-powered suggestions for eliminating duplicate or unused tools (Pro/Team plans)
• Budget alerts and renewal reminder emails

We reserve the right to modify, suspend, or discontinue features with reasonable notice. We will provide at least 30 days notice before discontinuing the Service entirely.

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

One account per person or organization. Creating multiple accounts to circumvent plan limits is prohibited and may result in termination of all associated accounts.

Paid plans are billed in advance on a monthly or annual basis. All prices are in USD and exclude applicable taxes. By providing a payment method, you authorize us to charge you for your subscription on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide prorated refunds for partial periods, except where required by applicable law.

Failed payments: If a payment fails, we will notify you by email. After a grace period of 7 days, access to paid features may be suspended until payment is resolved.

You agree not to:

• Use Subrix for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Transmit malware, spam, or any harmful code through the platform
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use automated scripts or bots to access the Service in a way that degrades performance for others
• Resell or white-label the Service without a written agreement from us
• Upload content that infringes on third-party intellectual property rights

Subrix and all associated software, designs, trademarks, and content are owned by Leonenko Group LLC and protected by intellectual property law. These Terms do not grant you any ownership rights to the Service itself.

Your data: You retain ownership of all data you input into Subrix (tool records, team information, notes). You grant us a limited license to store and process that data solely to provide the Service. We do not claim ownership over your content and will not use it for any purpose beyond operating and improving Subrix.

To the maximum extent permitted by applicable law, Subrix is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Leonenko Group LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data) arising out of your use or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

By you: You may delete your account at any time from account settings. Upon deletion, your data will be permanently removed within 30 days.

By us: We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding amounts after reasonable notice.

Sections 6 (IP), 7 (Liability), and 9 (Governing Law) survive termination of these Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision does not constitute a waiver.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leonenko Group LLC regarding the Service.
